Welcome to Insights247 Business Consultancy dba InsightsPad Management Consulting (“InsightsPad,” “we,” “our,” or “us”). These Terms and Conditions (“Terms”) govern your use of our website, digital resources, and professional services, including consulting, training, team building, and related business advisory offerings. By engaging with our services or accessing our website, you (“Client,” “you,” or “your”) acknowledge that you have read, understood, and agree to be bound by these Terms.

1. Introduction & Acceptance of Terms

 

By entering into an engagement with InsightsPad, whether through a signed agreement, digital purchase, or use of our website and services, you agree to comply with and be legally bound by these Terms. If you do not agree, you should refrain from using our services.

 

2. Definitions

 

For the purposes of these Terms:

• “Services” refer to all offerings by InsightsPad, including management consulting, training programs, team building, digital resources, workshops, advisory sessions, and related professional services.
• “Client” refers to any individual, company, or entity that engages or purchases our Services.
• “Deliverables” refer to any reports, templates, materials, presentations, or outputs provided as part of the Services.
• “Website” refers to www.insightspad.com.

3. Scope of Services

 

InsightsPad provides professional services that may include but are not limited to:

• Management and business advisory consulting
• Training and development programs
• Team-building facilitation
• Digital products such as e-books, templates, and resource kits
• Organizational development, leadership, and HR-related solutions

The exact scope, timelines, and deliverables will be defined in a separate service proposal, quotation, or engagement letter agreed upon by both parties.

4. Client Responsibilities

 

To ensure the successful delivery of our Services, the Client agrees to:

• Provide accurate, timely, and complete information as requested.
• Cooperate with InsightsPad personnel and designated consultants.
• Ensure that authorized representatives are available to provide approvals and feedback.
• Make timely payments in accordance with agreed terms.
• Refrain from misusing our intellectual property, materials, or resources.

5. Fees, Payment Terms, and Taxes

• Fees will be outlined in our proposal, quotation, or online purchase platform.
• Payments are due as specified in the invoice or agreed schedule. Late payments may incur interest or suspension of services.
• Unless otherwise stated, fees are exclusive of applicable taxes (including VAT), which shall be borne by the Client.
• For digital product sales, all purchases are considered final and non-refundable, except as required under Philippine consumer protection laws.

6. Intellectual Property Rights

 

• All intellectual property rights in our training materials, reports, templates, digital products, methodologies, and Deliverables remain the exclusive property of InsightsPad unless explicitly transferred in writing.
• Clients are granted a limited, non-exclusive, non-transferable license to use Deliverables solely for internal business purposes.
• Materials may not be copied, resold, distributed, or used for commercial purposes without prior written consent.

7. Confidentiality

 

• Both parties agree to maintain strict confidentiality over proprietary or sensitive information exchanged during the engagement.
• Confidential information shall not be disclosed to third parties without prior written consent, except as required by law.
• This obligation of confidentiality shall survive the termination of services.

8. Limitations of Liability & Disclaimer of Warranties

 

• InsightsPad provides its Services using industry standards but does not guarantee specific outcomes, financial gains, or business results.
• To the maximum extent permitted by law, our liability is limited to the amount paid by the Client for the specific Service giving rise to the claim.
• We are not liable for indirect, incidental, or consequential damages, including but not limited to lost profits, data, or opportunities.
• All Services and digital resources are provided “as is” and “as available” without warranties of any kind, express or implied.

9. Termination of Services

 

• Either party may terminate an engagement upon written notice if the other party materially breaches these Terms and fails to remedy such breach within a reasonable period.
• InsightsPad may suspend or terminate Services if payments are overdue or if the Client engages in conduct that adversely affects service delivery.
• Upon termination, all outstanding fees become immediately due, and Clients must cease use of proprietary materials.

10. Governing Law and Dispute Resolution

• These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines.
• In case of disputes, parties agree to first attempt mediation. If unresolved, disputes shall be submitted to binding arbitration in Metro Manila, Philippines, under the rules of the Philippine Dispute Resolution Center, Inc. (PDRCI) or a similar recognized institution.
• Parties agree to waive any right to pursue court litigation except for enforcement of arbitration awards.

11. Amendments to Terms

 

InsightsPad reserves the right to update or amend these Terms at any time. Updated Terms will be posted on our Website with the “Effective Date” indicated. Continued use of our Services constitutes acceptance of the revised Terms.
